Terms of Service

1. Overview
These Terms of Service govern your access to and use of the website, software products, and professional services provided by Fluxentra Systems, a technology company registered in Rawalpindi, Pakistan and operating across the industrial digitalization, healthcare IT, and smart infrastructure sectors.
By submitting an enquiry, requesting a demonstration, entering into a service agreement, or deploying any Fluxentra software platform, you agree to be bound by these terms. If you are acting on behalf of an organization, you represent that you have authority to bind that organization.
2. Software Licensing
Fluxentra Systems licenses its software platforms — including but not limited to FluxHIMS (Hospital Information Management System), FluxHealth (Mental Health Practice Management), SCADA integration modules, ERP connectors, and mobile applications — on a subscription or perpetual license basis as specified in the applicable service agreement.
All software licenses are granted for use within the client's own organization and for the number of users, facilities, or data points specified in the agreement. Licenses are non-transferable and may not be sublicensed or resold without prior written consent from Fluxentra Systems.
Source code, proprietary algorithms, database schemas, and technical documentation remain the exclusive intellectual property of Fluxentra Systems. Clients receive a right to use the software as configured and deployed, not ownership of the underlying technology.
3. Professional Services
Implementation, integration, customization, and training services are provided under separately executed service agreements that define scope, deliverables, timelines, and commercial terms. These Terms of Service apply in addition to any such agreement.
For industrial deployments — including SCADA integration with OT systems, ERP implementation, IIoT connectivity, and process data analytics — the client is responsible for ensuring appropriate site access, network infrastructure readiness, and coordination with third-party equipment vendors. Fluxentra Systems is not liable for delays or failures arising from inadequate site conditions or third-party dependencies outside our scope.
For healthcare deployments — including FluxHIMS and FluxHealth — the client institution is responsible for clinical governance, regulatory compliance with Pakistan Medical Commission (PMC) standards, and ensuring staff are adequately trained before clinical use.
4. Acceptable Use
You agree not to:
- Use Fluxentra software platforms for any unlawful purpose or in violation of applicable Pakistani law or regulation
- Attempt to reverse-engineer, decompile, or extract the source code of any Fluxentra software product
- Introduce malicious code, conduct penetration testing, or attempt unauthorized access to any Fluxentra-managed infrastructure without prior written authorization
- Use healthcare modules (FluxHIMS, FluxHealth) as the sole basis for clinical decision-making without appropriate clinical oversight
- Connect Fluxentra software to critical infrastructure (power grids, water treatment, industrial control systems) without completing the required commissioning and safety review process
5. Uptime and Support
Where cloud-hosted or managed service arrangements are in place, Fluxentra Systems targets a 99.9% monthly uptime for production environments, excluding scheduled maintenance windows communicated in advance.
Support response times and escalation procedures are defined in the service level agreement (SLA) attached to each client contract. Emergency support for safety-critical industrial systems (SCADA, process monitoring) is handled via dedicated escalation channels specified in the applicable SLA.
6. Intellectual Property
All Fluxentra software products, platform architectures, user interface designs, training materials, and technical documentation are protected by applicable intellectual property laws. Unauthorized reproduction, distribution, or modification is strictly prohibited.
Where Fluxentra Systems develops custom modules, integrations, or configurations specifically for a client under a paid engagement, ownership of such deliverables is defined explicitly in the relevant service agreement.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Fluxentra Systems shall not be liable for indirect, incidental, consequential, or punitive damages arising from the use or inability to use our software or services, including but not limited to production downtime, data loss, or clinical adverse events attributable to software misuse or misconfiguration.
Our total aggregate liability to any client in connection with any claim shall not exceed the total fees paid by that client to Fluxentra Systems in the twelve months preceding the claim.
8. Confidentiality
Both parties agree to maintain the confidentiality of technical, commercial, and operational information shared during the course of engagement. This includes client process data, plant configurations, clinical workflows, and Fluxentra's proprietary solution architecture. Confidentiality obligations survive the termination of any service agreement for a period of three years.
9. Governing Law
These Terms of Service are governed by the laws of the Islamic Republic of Pakistan. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Rawalpindi / Islamabad, Pakistan, unless otherwise agreed in a signed service agreement.
